Terms of service
The agreement between you and PriceHQ for hosting, servers and app development.
Draft for review. This document is not yet in effect and may change before launch.
1. Who we are
These terms are between you and PriceHQ, an Australian business (ABN pending registration), contactable at hello@pricehq.tech. "We" and "us" mean PriceHQ. "You" means the person or organisation that orders a service.
2. The services
- Shared hosting: a cPanel account with the limits of the plan you choose, as shown on our hosting page when you order.
- VPS hosting: a virtual server, unmanaged or managed, as described on our VPS page when you order. Servers are created automatically, normally within minutes of your first payment. You need to provide an SSH public key when you order.
- App development and other work: as set out in a written quote or scope you accept. If a quote conflicts with these terms, the quote wins for that work.
We don't sell or register domain names. You're responsible for your domain, its renewal and its DNS settings.
3. Your account
- Give us accurate contact and billing details and keep them current in the client portal.
- Keep your passwords and keys safe. You're responsible for what happens under your account.
- You must be 18 or over, or ordering for an organisation that has authorised you.
4. Billing
- Services are billed in advance, monthly or yearly, in Australian dollars. Prices in AUD.
- Invoices are issued in the client portal and by email. Card payments are processed by Stripe.
- Plans renew automatically at the price shown for your plan at the time of renewal. We'll give at least 30 days' notice by email before any price increase applies to you.
- Renewal invoices are issued 14 days before the paid period ends and are due 7 days after they're issued. Reminders are sent by email.
- If a renewal is still unpaid when the paid period ends, the service is suspended. If it's still unpaid 30 days after suspension, the service is cancelled and its data is deleted.
- A new order that isn't paid within 7 days is cancelled.
5. Acceptable use
You must follow our acceptable use policy. We may suspend a service that breaches it, puts other customers at risk, or is subject to a valid legal request. Where we can, we'll contact you first and give you a chance to fix the problem.
6. Your content and data
- What you upload, store or send is yours. You give us only the rights we need to host, back up and transmit it for you.
- You're responsible for having the right to use your content and for complying with the law, including privacy law, for any personal information you collect through your site or app.
- We keep backups as described for your plan, but they're a safety net. Keep your own copy of anything important.
- When a service ends, its account and data are removed, unless the law requires otherwise. Download what you need before then.
7. Managed services
For managed servers we set up, harden, patch, monitor and back up the operating system and help install your software stack. Your own application code and its data remain your responsibility unless a quote says otherwise. We may need to restart a server to apply security updates; we'll schedule it outside business hours where practical.
8. App development
- Each project follows a written scope and fixed quote. Changes to the scope are quoted before we start them.
- Unless the quote says otherwise, once you've paid in full you own the code written for you. We keep the right to reuse general tools, libraries and know-how that aren't specific to your project.
- Open-source components stay under their own licences.
9. Availability and support
Our uptime target, service credits and support hours are in the service level.
10. Your consumer rights
Our services come with guarantees that cannot be excluded under the Australian Consumer Law. Nothing in these terms excludes, restricts or modifies any right or remedy you have under the Australian Consumer Law or any other law that cannot lawfully be excluded.
11. Liability
To the extent the law allows, and subject to section 10:
- we're not liable for indirect or consequential loss, including lost profits, revenue or data; and
- our total liability for any claim is limited to the fees you paid us for the affected service in the 3 months before the claim arose.
Where the Australian Consumer Law lets us limit our liability for a failure to comply with a consumer guarantee, our liability is limited to supplying the service again or paying the cost of having it supplied again.
12. Cancellation
You can cancel any time from the client portal. Refunds follow our refund and cancellation policy. We can end a service with 30 days' notice by email, and refund any prepaid fees for the period after it ends.
13. Changes to these terms
We may update these terms. We'll email you at least 30 days before a change that reduces your rights takes effect. If you don't agree, you can cancel before then and receive a pro-rata refund of prepaid fees.
14. General
These terms are governed by the law of Queensland, Australia, and you and we submit to the courts of Queensland. If any part is unenforceable, the rest still applies.
